  1. The Parties

  1. Definitions

Client” shall mean the individual, body, couple, company or any other entity responsible for commissioning of the Event.

Contract” shall mean these terms and conditions plus the final version of the following sections of the Event Proposal: Your Event Details & Costing Summary, Your Catering Menu, Your Event Particulars, Booking Procedures and Your Optional Extras,

Deposit” shall mean the non-refundable, non-transferable amount (being a minimum of 20% of the total amount or agreed amount) payable to Madhu’s Limited, with such amount specified in the Event Proposal. 

Event” shall mean the event scheduled to take place at the date, time and venue as detailed in the Event Proposal.

Event Proposal” shall mean the document provided by Madhu’s Limited to the Client detailing the services to be provided by Madhu’s Limited to the Client and the assumptions on which such services will be provided for the Event (or series of Events), as amended from time to time with the agreement of both parties.

Total Amount” shall mean the total amount payable to Madhu’s Limited as set out in the Event Proposal, as amended from time to time with the agreement of both parties.

  1. Confirmation of Booking and Provision of Services

This contract is only confirmed with Madhu’s Limited upon receipt of these terms and conditions, duly signed by the Client and the payment of the Deposit. For the avoidance of doubt, until the signed Contract and Deposit are received by Madhu’s Limited, there is no commitment by either party or liability arising out of or in relation to this Contract which is attributable to Madhu’s Limited. Where Madhu’s Limited undertakes to book an Event venue on the Client’s behalf, such venue booking will only be confirmed on receipt by Madhu’s Limited of a contract between Madhu’s Limited and such venue signed on behalf of such venue. Venue terms and conditions will be the responsibility of the Client and must be strictly adhered to. Venue terms and conditions will be available to the Client upon request.  Madhu’s Limited shall provide the services set out in the final version of the Event Proposal only.  Any additional requirement of the Client, including without limitation, production, decoration, audio / visual, cake, favours, flowers, shall be the responsibility of the Client.  All Event details, including without limitation, floor plans, timing schedules, guest numbers and menu, need to be confirmed by the Client to Madhu’s Limited.  This must be completed a minimum of six to eight weeks prior to the Event. Any changes requested by the Client after such confirmation may not be possible or may be subject to additional charges.

  1. Event Proposal

4.1 These are the terms and conditions on which we manage and supply the Event, as detailed in your Event Proposal. 

4.2 Why you should read them. 

Please read these terms carefully before you confirm that you are happy with the content of our Event Proposal. These terms tell you who we are, how we will provide your event to you, how you and we may change or end the contract, what to do if there is a problem and other important information.

  1. Payment Terms

6.1 All prices are quoted and payable in GBP and are exclusive of VAT (which shall be charged at the current prevailing rate) as well as any other applicable taxes. The Client shall make payment to Madhu’s Limited in consideration of the services to be provided by Madhu’s Limited as detailed in the Event Proposal and this Contract.  All charges are either based on a (1) “per head” basis and shall be rounded up to the next complete table required, or (2) a “complete package” basis. The Client can make payments to Madhu’s Limited in the following ways; cash, cheque, banker’s draft or bank transfer. Payment Schedule must be strictly adhered to as follows:

6.2 On signing of this Contract– Deposit of 20% or the agreed amount which is non-refundable, non-transferable.

  1. Up to 182 days prior to Event – 30% of estimated Total Amount.
  2. Up to 84 days prior to Event – 30% of estimated Total Amount.
  3. Up to 14 days prior to Event – outstanding balance to be paid in full.  The Client acknowledges that such outstanding balance may have increased since signature of this Contract due to changes in the Client’s requirements (as may be shown by an amended Event Proposal). Billing will be based on contracted and/or actual numbers whichever is greater.
  4. Disbursements will be made on the client’s behalf in order to secure/confirm provision services, equipment etc for the agreed date.
  5. Payment schedule must be strictly adhered to any delay/failure to make payments of any of the above timelines could jeopardise your event at no fault of Madhu’s Limited.

6.3 Madhu’s Limited may cancel an Event without any liability being incurred whatsoever, if (1) a venue is unavailable or closed down due to events and/or circumstances beyond the control of Madhu’s Limited including without limitation any force majeure event, bankruptcy or other insolvency event; or (2) the Client is in breach of any terms of this Contract. 

 

6.4 A surcharge at the rate of eight percent (8%) above the Bank of England base rate per annum (or, if lower, the maximum rate permitted by applicable by law) shall accrue on any amount not paid by the Client to Madhu’s Limited from the original due date until paid in full and shall be payable by the Client to Madhu’s Limited on demand.  Madhu’s Limited’s bank details for payment are as follows:

Such surcharge is intended to cover the costs of administration, to include inter alia sending reminders to you. 

6.5 Upon receipt of the signed contract 

you will receive a secure link which will enable payments to be made automatically and in a timely manner and in accordance with the pre-agreed deposit schedule.

  1. Leftover Food and Beverages

In accordance with best practice guidelines under the food Health and Safety regulations, Madhu’s Limited is unable to allow the Client to take any leftover food away from the Event. This also applies to any food unused as a result of less than the confirmed number guests attending the Event. 

  1. Cleaning and Refuse

8.1 Madhu’s Limited will clean the kitchen of the Event venue and leave it in the condition in which it was found by Madhu’s Limited on arrival. Madhu’s Limited will also clear all the equipment provided by Madhu’s Limited. Madhu’s Limited do not take refuse bags of the waste accumulated during the Event with them but will place it in the refuse area provided by the Event venue.  If such an area is not provided by the Event venue, the Client shall make alternative arrangements or Madhu’s Limited can arrange this service for you.  Failure to return the Event venue to its original state shall not render Madhu’s Limited liable in any way.  

8.2 Failure to return the Event venue to its original state shall not render Madhu’s Limited liable in any way. Madhu’s Limited are not responsible for cleaning or removing any items provided by any third-party suppliers i.e. Decorators, Entertainers ancillary services etc. Should the venue charge for additional cleaning and or additional time, this is deemed to be the client’s responsibility. At the end of the Event, Client will co-operate with Madhu’s Limited to return / reinstate the condition of the Venue as it was immediately prior to the commencement of the Event, i.e. the original condition. 

8.3. All suppliers are provided 2 hours (unless otherwise stated) at the end of the event to fully collect, clear out, clean up and vacate the venue to be returned as found. No third-party items are to be left overnight under any circumstances and if so, any charges made by the venue will be the client’s liability and anything left behind by the clients/suppliers will be at their own risk.

  1. Cancellation Policy

9.1 Cancellation of a confirmed Event will incur the following charges by the Client:

  1. if over 14 months prior to the Event – Deposit (which is non-refundable, non-transferable.)
  2. if between 8 – 14 months prior to the Event – 50% of Total Amount;
  3. if between 2 – 8 months prior to the Event – 75% of Total Amount; and
  4. if less than 2 months prior to the Event– 100% of the Total Amount.
  5. All Deposits/Payments, cancellation charges are non-transferable, non-refundable.

9.2 Such percentage deductions above will cover Madhu’s Limited’s costs to include (but not limited to) incurred or paid disbursements, third party costs, management time, attendance time, tastings, liaising with the client, costs of suppliers etc.,

9.3 The typical Deposit amount is 20% or an agreed amount of the total amount payable to Madhu’s Limited, but if required by a venue, the Client may have to pay a larger Deposit in order to secure the venue for the Event.

Please note that our cancellation charges are based on a pre-estimate of the liabilities that we incur in relation to the Event and should not be construed as a form of penalty. Such liabilities will include the following types of expenditure / loss incurred by us: incurred or paid disbursements, third party costs, management time, admin costs, attendance time, tastings, liaising with the client, costs of suppliers etc.,

9.4 All Deposits, cancellation charges are non-transferable, non-refundable unless otherwise stated.

9.5 Where Madhu’s Limited books an Event venue on the Client’s behalf, any liability arising from the venue’s fees and cancellation policy will be the responsibility of the Client and must be strictly adhered to. Details of the venue cancellation policy will be available to the Client upon request. Madhu’s Limited may cancel an Event without any liability being incurred whatsoever, if (1) a venue is unavailable or closed down due to events and/or circumstances beyond the control of Madhu’s Limited including without limitation any force majeure event, bankruptcy or other insolvency event; or (2) the Client is in breach of any terms of this Contract. 

  1. Venues

10.1 If a complimentary bedroom for the night of the Event or changing room is provided, normal hotel check in time applies (normally between 2pm-4pm). Should the Client require early check this will incur an additional charge which will be specified by the venue. PA systems, projectors and screens are not provided by the venue and if required will incur additional charges (prices on application).  In the event that the Client has contracted with the venue directly, the Client shall ensure that Madhu’s Limited is permitted to access the venue at least 6 hours prior to the Event start time in order to carry out preparation and cooking activities.

10.2 Should a Client decide to deliver or store any equipment, goods or any other items to the venue prior to the Event or leave behind the any equipment, goods or any other items after the Event, neither Madhu’s Limited or the venue will be liable for any damage or losses incurred, and such equipment or goods are left at the Client’s own risk and responsibility.  

  1. Guest Numbers

11.1 The Client will provide Madhu’s Limited with final numbers of guests 14 days prior to the Event.  If there is an increase in the number of guests after the final number of guests has been given, Madhu’s Limited will use commercially reasonable endeavors to accommodate this if logistically possible. In this situation, Madhu’s Limited reserves the right to charge the agreed “per head” price for each extra guest accordingly, rounded up to the next 10, or adjust the “complete package” price accordingly. The Client will also be responsible for any consequential increase in venue costs as a result of changes to the number of guests. The guest numbers are booked on a basis of a minimum number of guests and therefore cannot be decreased once the contract has been signed. If the guest’s numbers were to decrease from the original numbers booked, (1) the price “per head” charges may increase; (2) the “complete package” price may increase accordingly. The Client acknowledges that the efforts used by Madhu’s Limited to provide services for an Event are not related to the age of guests, therefore Madhu’s Limited do not offer any discounts for guest children.  

11.2 Madhu’s Limited will cater for all guest tables in multiple numbers of 10 guests per table, as a minimum any less numbers will still be charged for as a table of 10. 

11.3 In the eventuality that additional guests attend on the day of the event then these extra guests/tables are to be paid for in full by immediate bank transfer or cash on the day.

11.4 Please note that requests to increase guest numbers at such a last minute may not be able to be accommodated and are subject to venue restrictions and equipment and supply Madhu’s Limited have in place on the day.

  1. Damages

The Client shall be responsible for any damage or loss caused to Madhu’s Limited, the venue and any other equipment by the act, default or neglect of the Client, third party suppliers or guests of the Client. The Client shall indemnify Madhu’s Limited and the venue on demand for the amount required to make good any such damage or loss within 7 days.

  1. External Foods and Allergens

Madhu’s Limited do not accept liability for any food items not provided by themselves, including the cutting or portioning of wedding cakes. However, if a cake has been supplied by the Client (or third-party supplier acting on behalf of the Client), Madhu’s Limited will serve the wedding cake to all guests if requested by the Client. Madhu’s Limited does not provide cake stands and cake knives and in addition to this do not take any responsibility for the aforementioned items bought in by the Client or third-party supplier.  Although Madhu’s Limited will endeavour to meet any allergy or other specific dietary requests from Clients with regards to the food supplied by Madhu’s Limited, Madhu’s Limited cannot guarantee that such food will be 100% free of all allergens or that such dietary requests will be 100% complied with. Reason being Madhu’s Limited Chefs and kitchens frequently use items that could cause an allergic reaction.

  1. Bar 

14.1 Where a venue does not have adequate chilling facilities or ice, it is the responsibility of the Client to arrange chilling facilities and ice. Madhu’s Limited can help arrange this at an additional cost if required. If permitted by the venue, the Client may deliver alcohol to the venue prior to the Event taking place. Where a Madhu’s Limited event manager is not present, it is the responsibility of the Client to ensure that the alcohol is delivered and stored correctly with an inventory list. A copy of the inventory list is to be sent to Madhu’s. Madhu’s Limited do not charge any corkage to their clients and therefore do not accept any responsibility for any missing or not served, half open multi bottles at the event. Should a venue charge corkage this will be the responsibility of the client. Madhu’s Limited will provide a list of remaining drinks at the end of the event. All drinks must be taken off site by the client at the end of the event.

14.2 No third-party/client items are to be left overnight under any circumstances at the venue and if so, any charges made by the venue will be the client’s liability and anything left behind by the clients/suppliers will be at their own risk.

  1. Etiquette

The Client is responsible for the behaviour of their guests. Any children must be properly supervised at all times. Madhu’s Limited reserves the right to judge acceptable levels of noise or behaviour of the Client and guests. In the event of the Client’s and/or guests’ failure to comply with Madhu’s Limited management or Event coordinator’s requests, Madhu’s Limited reserves the right to terminate the Contract and stop the Event immediately without liability.

  1. Client/Liaison Responsibilities

16.1 The Client or the Client’s liaison at the Event will be responsible to double check the table layout and table numbering upon arrival or 1 hour prior to guest’s arrival whichever is earliest and ensure that it is their responsibility to collect and take off site all personal belongings of the client at the end of the event (we recommend 1 hour prior to the end time). The Client must ensure that any decisions/changes/requests made by the liaison during the event will be deemed as good as the client making any decisions/changes/requests on their behalf. Madhu’s Limited /Venue do not take any responsibility for leftovers client items at the end of the event.

16.2 The Event manager must be informed immediately by the Client or the Client’s liaison at the Event of any situation impacting the provision of food or service that may arise anytime throughout the Event, thus giving the Event Manager the opportunity to rectify and/or make good the issue/concern. 

16.3 Where an Event is delayed due to the Client and or Client’s guests/suppliers, Madhu’s Limited will not be liable for any consequential effect on food and service times or food quality.

16.4 The Client is responsible for placing individual name cards, place cards, table names, printing of table plans for easels, favours, guest book, cake knives and, without limitation, any other the provision and placement of personalised Client items. Madhu’s Limited will provide and set up table numbers where requested.

  1. Event Duration

An Event is 7 hours long, unless otherwise specified in the Event Proposal.  If the Event overruns (for any reason), the Client shall pay an additional charge in cash for all Madhu’s Limited staff costs at £350.00 for each additional hour, as well as any transportation costs, venue and/or security, staff costs, which may arise due to the overrun of the Event. Such amount will be payable prior to the actual end of the Event in cash.

  1. Liability

Madhu’s Limited’s total liability under the Contract, whether in contract, tort (including negligence) or for breach of statutory duty or in any other way, shall under no circumstances exceed the greater of (a) GBP 250 or (b) fifty percent (50%) of the fees actually paid by the Client to Madhu’s Limited (at the time the event giving rise to the claim occurs) in respect of Madhu’s Limited services only, excluding any fees for third party suppliers and venue(s) under the Contract. Madhu’s Limited shall have no liability for any special, incidental, indirect and/or consequential damages of any kind, resulting from either Madhu’s Limited’s performance or failure to perform pursuant to the provisions of the Contract, even if Madhu’s Limited has been advised of the possibility of such damages.  All other liabilities are hereby excluded to fullest extent possible by law, including without limitation the errors, actions or omissions of any third-party supplier (whether or not contracted by Madhu’s Limited or the Client).  

For the avoidance of doubt, any accident, injury or damage to the Client, Client’s guests, contractors and agents, or their respective property due to their own actions, neglect or the actions of others shall not deem liability on the part of Madhu’s Limited.  The Client shall indemnify Madhu’s Limited for any costs (including all legal costs) that Madhu’s Limited may incur in enforcing any provision of the Contract. 

Madhu’s Limited may substitute, alter, amend or replace any item of equipment or any other aspects of the services if the provision of such item shall be impractical for any reason, including without limitation, availability, price or quality.  Madhu’s Limited shall not be liable to the Client in such regard provided that such item shall be replaced or substituted with an item of similar or greater quality.

 

  1. Third Party Suppliers

19.1 The use of any third-party suppliers by the Client to provide services at the Event is at the Client’s own risk and shall be subject to prior approval by Madhu’s Limited and the venue. Such approval shall be subject to the third party supplier providing to Madhu’s Limited and the venue evidence of (i) at least 1 months insurance in respect of the provision of their services,  (ii) a PAT (portable appliance testing) electrical safety certificate for any electrical equipment to be used by such third party supplier at the Event, (iii) risk assessments and working method statements, (iv) fire retardant certificates (if applicable), and (v) any other venue requirement. Madhu’s Limited will not supply meals for third-party suppliers during the course of the Event, unless otherwise agreed and paid for by the Client.  The Client shall be responsible for the acts and omissions of any third-party supplier contracted by the Client, including without limitation, ensuring compliance with applicable Health and Safety regulations and any other statutory requirements and co-operation with Madhu’s Limited; for example, and without limitation, any chair providers shall un-stack chairs in order for them to cover for the Event if required. Madhu’s Limited accepts no liability for any third-party supplier, regardless of whether such third-party supplier is contracted by the Client or Madhu’s Limited itself. 

19.2 Madhu’s Limited are not responsible for the provision of any furniture or equipment required by decorators, chair cover suppliers, or any other third-party suppliers unless agreed prior to the Event. Third Party Supplier access is 4 hours prior to the event start time for their set up unless otherwise agreed.

19.3 Should the client choose a supplier that is not on the accredited suppliers list for Madhu’s Limited then the end client may be liable for any additional charges that may occur by the venue or Madhu’s Limited. Madhu’s Limited may apply a refundable deposit in case of any damage/negligence or failure to vacate the premises one hour after the end of the event.

19.4 Before you book any third party suppliers you shall inform the third party supplier of any timing requirements of the venues to ensure that there are no issues. The third party supplier shall also make enquiries of the venue to manage timings and processes. 

  1. Client Items

20.1 Madhu’s Limited and the venue shall have no responsibility for any client items including without limitation, guest books, cake toppers, knives, cake stands, flowers, personal property of guests, wedding gifts, cards and Alcohol.  The Client shall ensure correct removal of all client items from the venue at the end of the Event.

20.2 Should a Client decide to deliver or store any equipment, goods or any other items to the venue prior to the Event or leave behind the any equipment, goods or any other items after the Event, neither Madhu’s Limited or the venue will be liable for any damage or losses incurred, and such equipment or goods are left at the Client’s own risk and responsibility. 

  1. Complaints Procedure

21.1 Any Client complaints must be made by the Client to Madhu’s Limited verbally within 24 hours after the Event, and then followed up in writing within 48hours after the Event.  Madhu’s Limited shall have no liability (unless specified by law) with respect to any Client complaints that do not follow this procedure. 

21.2 Madhu’s Limited shall endeavor to respond to any correctly made Client complaints within 14 days of receipt of such complaint in writing. 

  1. Electronic Signature. 

If an electronic version of these Terms and Conditions is agreed to by the Client, such electronic version shall be deemed to be binding, regardless of whether or not the Client has duly signed a paper version.

  1. Security

23.1 The obligations of the client under this Agreement are joint and several.  

23.2 The Client is the guarantor of the contract. This means that, if the Client defaults under any of the provisions of this Agreement, Madhu’s Limited can take recourse against the guarantor immediately and without recourse to the Client. The guarantor acknowledges this and understands that any default of the Client can result in personal action and or liability to the guarantor. 

23.3. In that sense, the term “Client” can be read interpreted and construed as a reference also to the guarantor throughout. 

23.4 Each of the Client and guarantor have taken such independent professional advice as they see fit in connection with the terms of this Agreement and the obligations listed. 

  1. Termination

24.1 To terminate the contract with us, please let us know by doing one of the following:  

  1. Phone or email: Call us on 0208 574 1897 or email us at info@madhus.co.uk. Please provide your name, address, details of the Event Proposal and, where available, your phone number and email address. 

24.2 How we will refund you  

We will issue any refund due to you by the method you used for payment. However, we may make deductions from the price, as described below.

24.3 When your refund will be made

We will make any refunds due to you as soon as possible but if you are exercising your right to change your mind during the Cooling Off Period, we will issue your refund within 14 days of you telling us you have changed your mind.

  1. Frustration

The Event is frustrated if it is illegal for it to be held (in accordance with the Event Proposal) on the suggested date. An example of this, is legislation proposed in response to the COVID-19 pandemic which make the holding of the Event illegal, e.g. the Event was for 100 guests but legislation only permits 30 guests in attendance.  The proposed illegality could occur at any time prior to the holding of the Event. 

 

If the Event is frustrated, the following shall apply:- 

 

25.1 Madhu’s Limited will work with you to secure a new date, the cancellation costs shall not be levied by Madhu’s Limited

25.2 the Deposit shall be refunded to you (or applied to the new date) less any expenses incurred or otherwise assumed by Madhu’s Limited which are reasonably deductible. 

For (26.2) you are referred to the guidance issued by us from time to time for a list of the type of expenses which may be deducted from the Deposit before the balance is returned to you if the Event is frustrated. These expenses are reflective of the costs and losses which Madhu’s Limited incurs or otherwise assumes prior to the Event frustration.  By signing these terms and conditions, you hereby expressly acknowledge and agree to the terms of this term 26 and confirm that you have read and understood our guidance. 

 

We reserve the right to update or otherwise amend that guidance from time to time which shall equally apply to this clause. 

 

  1. General

Any decorations that may require fixings, will need prior consent from the Event venue, this must be supplied in writing 1 month prior to the Event.  It is the responsibility of the Client to procure any such consent. All gangways, passages, stairways and exits must be kept entirely free from any obstruction. At no time whatsoever shall any guests or the Client be permitted entry to the kitchen, preparation or serving areas. 

  1. Contracts (Rights of Third Parties) Act 1999

The Contracts (Rights of Third Parties) Act 1999 shall not apply to this Contract.  

  1. Severability

28.1 If any provision or part-provision of this agreement is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this clause shall not affect the validity and enforceability of the rest of this agreement.

  1. Entire agreement

29.1 This agreement constitutes the entire agreement between the parties and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understandings between them, whether written or oral, relating to its subject matter.

29.2 Each party agrees that it shall have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in this agreement. Each party agrees that it shall have no claim for innocent or negligent misrepresentation [or negligent misstatement] based on any statement in this agreement.

30. Governing law and jurisdiction 

 

30.1 This agreement shall be governed by, and construed in accordance with, the law of England and Wales. Any dispute arising out of or in connection with, or concerning the carrying into effect of, this agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales, and the parties hereby submit to the exclusive jurisdiction of those courts for these purposes.

  1. Variation and Waiver

Madhu’s Limited may amend these terms and conditions at any time without notice to the customer provided that post amendment, Madhu’s Limited supplies a copy of the amended terms to the customer and thereafter those terms as so amended shall apply as between the parties.  For example, Madhu’s Limited may need to amend these terms and conditions from time to time to apply with prevailing legislation or other guidance. 

No waiver of any breach of this Contract and no course of dealing between the parties, shall be construed as a waiver of any subsequent breach of this Contract.  

A determination that any provision of this Contract is invalid or unenforceable shall not affect the validity or enforceability of the other provisions of this Contract which shall remain in full force and effect.  

  1. Confidentiality and Data Protection/GDPR. 

32.1 All materials provided by Madhu’s Limited to the Client, including without limitation, the Event Proposal, specifically any pricing information, and this Contract are confidential and should not be disclosed to any third parties by the Client.  Madhu’s Limited may share your personal information with other approved third-party suppliers that work directly with Madhu’s Limited

(a list can be provided upon request.)  

32.2 Please inform Madhu’s Limited by in writing by email or by post if you DO NOT want Madhu’s Limited to pass on your details: 

  1. Marketing. 

33.1 We are proud of our events and hope to share the content of your special day with our audience. In order to do so, we would like to kindly ask for your permission to use photography and videography of your event which may contain images of you and your guests. With this contract, you hereby grant permission to Madhu’s Limited Catering & Event Management to use photographs and/or video of you taken on your event for marketing purposes, including and not limited to: social media, website content, blog posts, digital publications and any other communications that will be used to promote Madhu’s Limited Catering & Event Management services unless stated otherwise.

33.2 Please inform Madhu’s Limited if you DO NOT give consent for the above

  1. Event Insurance

34.1 It is a matter for you to seek advice on the appropriate insurance cover and Madhu’s Limited accepts no liability whatsoever for any recommendations it may make.

34.2 For peace of mind, we advise all our clients to consider purchasing Event Insurance to cover any eventualities that may arise before/during or after the event.

34.3. If the Client has any form of Event Insurance, then the Client shall provide such details related to that to Madhu’s Limited as requested from time to time. 

  1. Force Majeure

35.1 A Party shall not be responsible for delays or failures in performance resulting from a Force Majeure Event.

35.2 The inability to procure the performance of the Key Persons shall not be considered a Force Majeure Event unless the Key Persons are delayed or prevented from performing as a result of a Force Majeure Event. 

35.3 A Party effected by a Force Majeure Event shall provide notice to the other Party promptly following its occurrence or the date on which such party becomes aware that a particular event may be a Force Majeure Event, and each party shall use reasonable endeavours to mitigate the effects of any Force Majeure Event on the performance of this Agreement and the operation of the Restaurant. 

35.4 The time within which such obligation must be performed will be extended for a period of time equivalent to the number of days delay from such Force Majeure Event.

35.5 A “Force Majeure Event” shall be taken to mean any one of the following types of event preventing performance of wither Party’s obligations:

An act of God or natural disaster;

An epidemic or pandemic;

Lawful industrial action;

Civil commotion;

Any law or any action taken by government or public authority; or

Any other event that occurs beyond the reasonable control of either party.
